AsantePowerCRM - Terms and Conditions

Welcome to AsantePowerCRM (“we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our software-as-a-service (SaaS) customer relationship management platform available at https://app.asantepower.co.za (the “Service”).

By registering, accessing, or using AsantePowerCRM, you agree to these Terms. If you do not agree, please do not use the Service.

1. Definitions

“Account” means the user profile created to access the Service.

“Client,” “you,” or “your” refers to the individual or organisation using AsantePowerCRM.

“Subscription” means your paid or trial-based access to the Service.

“Data” means any information uploaded, entered, or otherwise provided by you while using the Service.

2. Use of the Service

2.1 You must be at least 18 years old and have the legal capacity to enter into these Terms.

2.2 You agree to use AsantePowerCRM only for lawful business purposes and in accordance with these Terms.

2.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

2.4 We reserve the right to suspend or terminate access if misuse, illegal activity, or violations of these Terms are detected.

3. Subscriptions and Payment

3.1 The Service is provided on a subscription basis, with fees and billing cycles disclosed at sign-up or renewal.

3.2 All fees are quoted in South African Rand (ZAR) and are non-refundable unless otherwise stated.

3.3 You are responsible for ensuring timely payment. Failure to pay may result in suspension or termination of access.

3.4 Pricing and plan features may be updated periodically. Changes will take effect from your next billing cycle, with reasonable prior notice.

4. Free Trials

4.1 We may offer free trial access to new users for evaluation purposes.

4.2 Trial access may include limitations and may be terminated or modified at our discretion.

4.3 Continued use after a trial period requires an active paid subscription.

5. Data Ownership and Privacy

5.1 You retain full ownership and control of all data you upload or store within AsantePowerCRM.

5.2 We do not claim any ownership over your data, except as necessary to operate and maintain the Service.

5.3 We take reasonable measures to protect your data against loss, theft, and unauthorized access, but no system is completely secure.

6. Intellectual Property

6.1 All intellectual property rights in AsantePowerCRM, including software, interface design, trademarks, and documentation, are owned by or licensed to us.

6.2 You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

6.3 You may not copy, modify, reverse-engineer, distribute, or create derivative works of the Service or any part thereof.

7. Acceptable Use

You agree not to:

Use the Service to distribute malware, spam, or harmful content;

Attempt to gain unauthorized access to systems or data;

Use the Service in violation of any laws or regulations of South Africa or any applicable jurisdiction;

Overload or interfere with the proper operation of the Service.

8. Service Availability and Maintenance

8.1 We aim to maintain consistent service availability.

8.2 From time to time, maintenance, updates, or system upgrades may cause temporary service interruptions. We will communicate these when reasonably possible.

8.3 We are not liable for delays, downtime, or data loss resulting from circumstances beyond our reasonable control, including internet failures or force majure events.

9. Termination

9.1 You may cancel your subscription at any time by contacting our support team.

9.2 Upon cancellation, access continues until the end of your current billing period.

9.3 We may suspend or terminate your account immediately if you breach these Terms or misuse the Service.

9.4 Upon termination, we may delete your data in accordance with our data retention policy, unless otherwise required by law.

10. Limitation of Liability

To the fullest extent permitted by South African law:

AsantePowerCRM and its affiliates will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.

Our total liability for any claim will not exceed the total subscription fees paid by you in the six (6) months preceding the event giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available.”

We make no express or implied warranties regarding performance, reliability, or fitness for a particular purpose.

12. Indemnification

You agree to indemnify and hold harmless AsantePowerCRM, its directors, employees, and affiliates from any losses, damages, or claims resulting from your use of the Service, your data, or your breach of these Terms.

13. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will notify you by email or through a notice on the platform.

Continued use of the Service after updates constitutes your acceptance of the revised Terms.

14. Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any disputes shall be resolved exclusively by the competent courts of South Africa.
